Corporate Counsel

Role Purpose

MSC Ukraine is seeking a motivated Corporate Counsel to join our team in Odesa. The Corporate Counsel provides legal support to MSC Ukraine across all business units, ensuring full compliance with Ukrainian legislation, MSC global standards, contract governance, supplier due diligence, and operational legal requirements. The role supports risk mitigation, protects the company’s legal interests, and ensures proper implementation of corporate processes, including CSRD‑related supplier screening.

Key Responsibilities

1 Contract Management

• Drafting, reviewing, and negotiating agreements.
• Ensuring legal accuracy and alignment with MSC policies.
• Identifying and mitigating contractual risks.

2 Vendor & Supplier Legal Due Diligence

• Verifying supplier legal status and documentation.
• Assessing country and category risks in line with CSRD requirements.
• Supporting Vendor Management Portal processes and compliance.

3 Compliance & Corporate Policies

• Implementing and monitoring adherence to MSC global policies.
• Ensuring compliance with Ukrainian legislation and internal standards.
• Supporting internal audits and compliance checks.

4 Claims & Disputes Handling

• Preparing legal responses to claims and official letters.
• Managing pre‑litigation and dispute‑resolution processes.
• Coordinating with external legal counsel when required.

5 Corporate Governance Support

• Maintaining corporate records, authorities, and statutory documents.
• Preparing powers of attorney and corporate resolutions.
• Liaising with banks, notaries, and state authorities.

6 Operational Legal Support

• Supporting operational teams (Logistics, UAC, Claims) with legal risk evaluation.
• Reviewing non‑standard operational cases.
• Advising on new business processes and projects.

7 Internal Legal Advisory

• Providing day‑to‑day legal guidance to all departments.
• Supporting cross‑functional teams with risk assessments.
• Ensuring legally sound decision‑making across the organization.

Qualifications

• Education: Master’s Degree or equivalent law degree from an accredited institution.
• Experience: Minimum of 2 years of experience in corporate law, ideally with a focus on commercial and corporate governance matters. Previous experience within the shipping or logistics industry is an asset.

• Specialized knowledge: Knowledge of the legal framework for international transportation: International Convention, Visby Rules, UN Hamburg Rules, Geneva Convention, Merchant Shipping Code of Ukraine, Sea Carriage Agreement (bill of lading), Customs Code of Ukraine, etc.
